Fees for our services will be specified in separate service agreements or quotations. Unless otherwise agreed in writing, all fees are due within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend or terminate services for non-payment. All fees are exclusive of applicable taxes, which shall be the responsibility of the client.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Confidential information includes, but is not limited to, technical data, business strategies, customer information, and any information marked as confidential. This obligation shall survive the termination of our business relationship and shall continue for a period of five years from the date of disclosure.
We strive to provide high-quality services, but our services are provided on an as-is and as-available basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Your use of our services is at your sole risk.
To the maximum extent permitted by applicable law, Crown East shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of our services. Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to Crown East in the twelve months preceding the event giving rise to the liability.
You agree to indemnify, defend, and hold harmless Crown East and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Suizhou City, Hubei Province, China. Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations.
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on our website and updating the Last Updated date.
